2. Definitions

The following terms have specific meanings throughout this Agreement:

• "Account" means your registered account to access the Service.
• "Authorized Users" means individuals you authorize to access your Account.
• "Customer Content" means any data, information, or materials you upload, submit, or transmit through the Service, including backlink data, contact lists, and email templates.
• "Backlink Data" means information about backlinks, referring domains, and related SEO metrics imported from third-party tools or uploaded via CSV.
• "Contact Data" means information about authors, editors, and other individuals associated with websites, including names, email addresses, and professional profiles.
• "Outreach Sequences" means email templates and follow-up sequences you create for reaching out to contacts.
• "AI Features" means artificial intelligence functionality for email personalization, including generating personalized email copy based on article content and recipient information.
• "AI Input" means any data or prompts you provide to AI Features, such as article URLs, contact information, or custom instructions.
• "AI Output" means personalized email content generated by AI Features.

3. Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

4. Description of Service

Referivo is a backlink research and outreach management platform that enables users to:

• Analyze backlink data from third-party SEO tools (such as SEMrush and Ahrefs) or CSV files
• Identify and organize backlink opportunities
• Discover contact information for website authors and editors through third-party enrichment services
• Create and manage email outreach sequences with AI-powered personalization
• Export contact data to email sequencing tools

5. Account Registration and Security

To use the Service, you must create an Account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your Account information
• Maintain the confidentiality of your Account credentials
• Immediately notify us of any unauthorized use of your Account
• Accept responsibility for all activities that occur under your Account
• Ensure that all Authorized Users comply with these Terms

6. Fees, Billing, and Renewals

Certain features of the Service require a paid subscription.

• Fees are exclusive of applicable taxes, which you are responsible for paying
• Subscriptions automatically renew unless cancelled before the renewal date
• Fees are non-refundable except as required by law or as explicitly stated in our refund policy
• We may change fees with at least 30 days' advance notice before your next renewal
• You may cancel your subscription at any time through your account settings

7. Acceptable Use

You agree to use the Service only for lawful purposes. You agree NOT to:

• Send unsolicited bulk emails (spam) or violate anti-spam laws including the CAN-SPAM Act, GDPR, CASL, or other applicable regulations
• Use the Service to harvest, collect, or store personal data without proper consent or legal basis
• Send emails containing false, misleading, or deceptive content
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service to harass, abuse, or threaten any person
• Violate any applicable local, state, national, or international law
• Circumvent any access controls or usage limits of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service in a manner that could damage, disable, or impair the Service
• Use automated means to access the Service except through our provided APIs
• Access the Service through any means other than our authorized interfaces

8. Restricted Data

You agree NOT to upload, submit, or transmit through the Service any:

• Access credentials, passwords, or API keys belonging to third parties
• Payment card data, bank account numbers, or other financial account information
• Government-issued identification numbers (Social Security numbers, passport numbers, etc.)
• Protected health information subject to HIPAA or similar regulations
• Biometric identifiers or genetic data
• Data subject to regulatory requirements that the Service is not designed to meet
• Content that is illegal, harmful, or infringes third-party rights

9. Email Outreach Compliance

You acknowledge and agree that:

• You are solely responsible for ensuring your email outreach complies with all applicable laws and regulations
• You will include accurate sender information and a valid physical address in all outreach emails
• You will honor unsubscribe requests promptly (within 10 business days)
• You will not send emails to individuals who have opted out or requested not to be contacted
• You have obtained any necessary consents before sending marketing communications to individuals in jurisdictions that require opt-in consent (such as the EU/EEA under GDPR)
• Referivo provides tools to facilitate outreach but does not send emails on your behalf — you are responsible for the content and recipients of your communications

10. AI Features

The Service includes AI Features to help personalize your outreach emails. These features may analyze article content, author information, and your templates to generate customized email copy. You acknowledge that:

• AI-generated email content may be inaccurate, incomplete, or inappropriate for your specific situation
• You are solely responsible for reviewing, editing, and approving all AI Output before sending any emails
• AI Output is a starting point for your outreach, not final copy ready to send
• AI Output does not constitute professional marketing, legal, or business advice
• We may use AI Input and AI Output to improve our AI Features, unless you opt out
• You may opt out of model improvement by contacting us at privacy@referivo.com
• AI Features are provided "as is" without guarantees of email deliverability, response rates, or any specific outcomes

11. Customer Content

You retain ownership of your Customer Content. By using the Service, you grant Referivo a limited, non-exclusive, worldwide license to:

• Process, store, and display your Customer Content to provide the Service
• Create backups and copies for disaster recovery purposes
• Aggregate and anonymize data for analytics and service improvement

You represent that you have all necessary rights to your Customer Content and that it does not violate any third-party rights or applicable laws.

12. Third-Party Integrations

The Service integrates with third-party services including SEMrush, Ahrefs, Apollo, and other email sequencing platforms. Your use of these integrations is subject to the respective third-party terms of service. Referivo is not responsible for the availability, accuracy, or functionality of third-party services. You are responsible for maintaining valid subscriptions and API access to any third-party services you connect.

13. Data Enrichment

Referivo may use third-party data providers to enrich contact information. You acknowledge that:

• Enriched data is provided "as is" without warranty of accuracy or completeness
• You are responsible for verifying the accuracy of contact information before use
• You will use enriched data only for legitimate business purposes in compliance with applicable privacy laws
• Contact information may become outdated and should be periodically verified

14. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. If you require a Data Processing Addendum for GDPR compliance, please contact us at privacy@referivo.com.

15. Confidentiality

Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

16. Security

We maintain commercially reasonable administrative, technical, and physical safeguards to protect Customer Content. However, no security measures are perfect or impenetrable. We cannot guarantee that unauthorized third parties will never defeat our security measures. You acknowledge that you provide Customer Content at your own risk.

17. Intellectual Property

The Service and its original content, features, and functionality are owned by Referivo and are protected by international copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. This license does not include the right to sublicense, modify, or create derivative works of the Service.

18. Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.

19. Modifications to Service; Downtime

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We may also perform scheduled maintenance that temporarily limits access to the Service. We will make reasonable efforts to provide advance notice of significant changes or planned maintenance.

20. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, strikes, or failures of third-party services or infrastructure.

21. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. You may terminate your Account at any time through your account settings or by contacting us.

Upon termination, your right to use the Service will immediately cease. We may delete your Customer Content within 30 days of termination, except as required by law or for legitimate business purposes such as dispute resolution.

22. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. REFERIVO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

REFERIVO DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO BACKLINK ACQUISITION, SEARCH ENGINE RANKINGS, OR EMAIL RESPONSE RATES.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REFERIVO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or similar harmful code transmitted through the Service
• Any errors or omissions in any content or data
• Your email outreach activities or their results
• Actions taken by third-party services or integrations
• AI Output or your reliance thereon

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

24. Indemnification

You agree to indemnify, defend, and hold harmless Referivo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your Customer Content, your violation of these Terms, or your violation of any third-party rights including privacy rights or anti-spam laws.

25. DMCA Notice

If you believe that content on the Service infringes your copyright, please send a notice to our designated agent at legal@referivo.com with: (1) a description of the copyrighted work; (2) identification of the infringing material; (3) your contact information; (4) a statement of good faith belief; (5) a statement under penalty of perjury that the information is accurate; and (6) your physical or electronic signature.

26. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Referivo agree to resolve any disputes through binding arbitration rather than in court, except that either party may bring claims in small claims court if they qualify. Arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules in San Francisco, California.

YOU AND REFERIVO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

27. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

28. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. For material changes, we will provide at least 30 days' notice before they become effective. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

29. California Residents

If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

30. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Referivo regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Notices: We may provide notices to you via email to the address associated with your Account or through in-app notifications.

Independent Contractors: The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, or agency relationship.
